David Hinks: Governance Matters!

For most folks, eyes glaze over when the topics of governance – bylaws, articles of incorporation – are raised. Yet these topics are critical! They determine how we make decisions – we ignore them at our peril.  As your Deputy Mayor, I can navigate these waters on your behalf.

I’ve had a great deal of experience dealing with these topics:

  • I’ve worked with a number of local organizations, including on the board of the Lanark County Food Bank – The Hunger Stop, to help them establish sound organizational and decision making structures.
  • In my work as a policy analyst at Transport Canada I was part of the team that created the new private-public partnership – the St Lawrence Seaway Management Corporation and the new Federal Bridges Corporation and the six inches of documentation that established the new entities.
  • As a member of the Board of Directors of the North American Chapter of the Chartered Institute of Logistics and Transportation and Corporate Secretary I created the documentation to meet the requirements for incorporation under the new Federal Not-for-Profit Corporations Act.
  • As a member of the Board of Directors of the Master Gardeners of Ontario Incorporated, I revised the bylaws and had them approved by our provincial government.

In all of these endeavours I’ve worked with many, many lawyers and have learned how to communicate with them, what questions need to be asked. After all a legal opinion is only an opinion – some lawyers are very cautious, some very aggressive.

Our new council will be facing many issues related to governance as we move to a much smaller council and a new committee structure. I believe that we also need new mechanisms in order that all of us have a voice in the decisions that will shape our future.
